Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and UGCMedakits, doing business as UGCMedia Clips ("UGCMedia Clips", "we", "us", or "our"), and govern your use of https://ugcmediaclips.com, our application, APIs, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. The Service

UGCMedia Clips provides tools that import long-form video, generate short clips, apply captions, styles, headlines, B-roll, and translations, and prepare clips for review and download. Features vary by plan and may change over time. We may add, modify, or discontinue features at any time.

3. Accounts

  • ·You must provide accurate information when creating an account and keep it up to date.
  • ·You are responsible for all activity under your account and for keeping your credentials secure.
  • ·Notify us promptly at Support@ugcmediaclips.com if you suspect unauthorized use of your account.
  • ·We may suspend or terminate accounts that violate these Terms or create risk for the Service or other users.

4. Plans, Credits, And Billing

  • ·Paid plans are billed in advance on a monthly or annual basis until cancelled. Annual plans are billed upfront.
  • ·1 credit corresponds to 1 minute of uploaded or imported video processed by the Service. Credit allowances, rollover rules, clip limits, and processing priority depend on your plan.
  • ·Unused monthly plan credits expire at the end of each billing period unless your plan includes rollover.
  • ·One-time credit packs do not renew and remain available while your plan is active.
  • ·Founding-member pricing is locked while your subscription remains continuously active; cancellation may forfeit the locked rate.
  • ·Prices may change; changes take effect at your next renewal after notice.
  • ·Taxes may be added where required. Payment is processed by our third-party payment processor.

Cancellations and refunds are handled according to our Refund Policy, which is part of these Terms.

5. Your Content

  • ·You retain ownership of videos you upload or import and the clips generated from them (“User Content”).
  • ·You grant us a worldwide, non-exclusive license to host, store, reproduce, process, transmit, modify, and display User Content solely to operate, provide, secure, and improve the Service, including processing by third-party AI/video providers acting on our behalf.
  • ·You represent and warrant that you own or have all rights, licenses, and permissions necessary to import, process, edit, store, download, and publish any content you submit, and that doing so does not violate any law or third-party right.
  • ·You are solely responsible for reviewing AI-generated outputs before using or publishing them, and for how and where you publish clips.

6. Acceptable Use

You agree not to:

  • ·Upload or process content you do not have the rights to use.
  • ·Use the Service to infringe intellectual property, privacy, or publicity rights.
  • ·Upload unlawful content, malware, or content that exploits or endangers minors.
  • ·Circumvent plan limits, credit metering, rate limits, or security measures.
  • ·Resell, sublicense, scrape, or reverse engineer the Service except as permitted by law.
  • ·Use the Service to violate any third-party platform's terms when importing or publishing content.
  • ·Interfere with or disrupt the integrity or performance of the Service.

7. AI Output Disclaimer

AI-generated results may be incomplete, inaccurate, unsuitable, or unavailable. We do not guarantee that any clip will go viral, generate revenue, comply with a social platform's rules, or be accepted by any third-party platform. Outputs are provided as drafts for your review.

8. Third-Party Platforms

The Service may interoperate with third-party platforms (such as YouTube, TikTok, Instagram, X, Google Drive, Dropbox, and others). We are not affiliated with, endorsed by, or sponsored by those platforms and are not responsible for their availability, policies, or actions. Your use of third-party platforms is governed by their terms.

9. Intellectual Property

The Service — including software, models, templates, designs, and branding — is owned by UGCMedakits or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Any feedback you provide may be used by us without restriction or obligation.

10. Copyright Complaints

If you believe content processed or stored through the Service infringes your copyright, send a notice to Admin@ugcmediaclips.com or by mail to 1025 Veterans Memorial Hwy SE, Georgia, USA. We may remove content, suspend processing, and terminate repeat infringers.

11. Termination

  • ·You may stop using the Service and cancel your subscription at any time.
  • ·We may suspend or terminate your access immediately if you breach these Terms, create legal exposure, or misuse the Service.
  • ·Upon termination, your right to use the Service ends. Media associated with deleted accounts is purged according to our Privacy Policy retention schedule.
  • ·Sections that by their nature should survive termination (including Sections 5, 7, 9, 12, 13, 14, and 15) survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.

13. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGCMEDAKITS AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.

14. Indemnification

You will defend, indemnify, and hold harmless UGCMedakitsfrom and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.

15. Governing Law And Disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-laws rules. Before filing a claim, you agree to contact us at Admin@ugcmediaclips.com and attempt to resolve the dispute informally for 30 days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Georgia, and you consent to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.

16. Changes To These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice such as by posting the updated Terms, updating the effective date, sending email, or displaying an in-product notice. Continued use of the Service after changes take effect constitutes acceptance.

17. General

  • ·These Terms, the Privacy Policy, the Refund Policy, and the Legal Notices form the entire agreement between you and us regarding the Service.
  • ·If any provision is found unenforceable, the rest remain in effect.
  • ·Our failure to enforce a provision is not a waiver.
  • ·You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
